1. The Publisher has this day.will
deliver(ed) to subscriber the Publications described on the other
side hereof and agrees to furnished periodic supplements if applicable.
2. All leased publications and
subsequent editions furnished to the subscriber shall be the property
of the publisher, to be returned at the expiration date of the
contract.
3. This agreement will be in full force
and effect for twelve months beginning with the delivery date
of the publications ordered. The agreement will automatically
renew for an additional 12-month period if not terminated by the
subscriber/lessee in writing to the publisher prior to the anniversary
date of the agreement. The agreement will continue to be extended
from year to year, unless terminated by the subscriber/lessee.
No credit or refund will be made for any unused portion of the
agreement period. Nor will the return of the publication be accepted
in lieu of payment, their return does not release the subscriber/lessee
from his obligations under this agreement, except when the agreement
is terminated in accordance with the terms previously set forth.
4. All subsequent renewals will be at
prevailing prices, and are subject to all of the terms and conditions
of this agreement.
5. The information and publications shall
be kept strictly confidential for subscriber/lessee's sole use.
6. The information contained in the publication
is believed to be reliable, but its accuracy is not guaranteed.
The publisher shall not be liable for any errors or omissions.
7. The lessee shall be liable for the
loss or destruction of all leased Publications described on the
other side hereof, and/or subsequent editions furnished to the
subscriber/lessee, to the extent of 100% of the annual lease amount.
8. Delivery of updated services may be
withheld if payment is not made in accordance with the terms of
the agreement. Withholding updated services does not affect the
subscriber/lessee obligations under this agreement. On PUBLISHER's
retention of legal counsel to collect any unpaid invoices, an
additional 25% therof representing PUBLISHER's legal fees shall
be added thereto and immediately be due and owing. User agrees
that in any plenary action to recover any sums due under this
contract, personal service of the summons and complaint is waived
and service of it may be made by regular and certified mail to
the last known address of User.
Delivery of updated services may
be withheld if if payment is not made in accordance with the terms
of the agreement. Withholding updated services does not affect
the lessee/ subscribers obligations under this agreement.
